These Commercial Terms (the “Terms”) are a binding agreement between the organization that creates, administers, purchases, or uses a Cartograph workspace (“Customer”) and Cartograph Technologies, Inc. (“Cartograph,” “we,” “us,” or “our”). They govern Customer’s and its Authorized Users’ access to Cartograph’s applications, AI-assisted features, communications tools, integrations, support, and related services (collectively, the “Service”).
Cartograph is offered only for business or professional use. It is not offered for personal, family, household, or consumer use.
1. Acceptance and authority
These Terms take effect at the earlier of: (a) the date a person electronically accepts them; or (b) the first date Customer or an Authorized User accesses or uses the Service after receiving conspicuous notice that access or use constitutes acceptance. Cartograph may require an express acceptance action before allowing access.
If you accept for an organization, you represent that you have authority to bind that organization. A workspace creator or administrator who accepts these Terms accepts them for Customer and also agrees personally to the obligations that apply to an Authorized User. An invited user who lacks organizational authority accepts only the Authorized User obligations and does not independently bind Customer.
An “Authorized User” is an employee, contractor, or other person Customer authorizes to use the Service on its behalf. Customer is responsible for its Authorized Users, accounts, instructions, and activity under its workspace.
These Terms incorporate the Data Processing Addendum (“DPA”), Usage Policy, Service-Specific Terms, Subprocessor List, and Supported Regions. The Privacy Notice is acknowledged as a notice and is not incorporated as a contractual promise except where these Terms expressly say otherwise.
2. The Service
Subject to these Terms, Cartograph grants Customer a limited, non-exclusive, non-transferable right to access and use the Service for Customer’s internal business purposes during the applicable subscription or evaluation period. Customer may permit Authorized Users to exercise this right on its behalf.
Cartograph may add, change, or remove features, providers, models, and technical methods. Cartograph will not materially reduce the core functionality of a paid Service during its then-current committed term except where reasonably necessary for security, legal compliance, provider changes, or prevention of harm. Alpha, beta, pilot, preview, and evaluation features may be changed, suspended, or discontinued at any time and have no service-level commitment.
Unless a signed Enterprise Agreement states otherwise, Cartograph makes no availability, uptime, support-response, data-residency, or recovery-time commitment.
3. Accounts and administration
Customer must provide accurate account and billing information, keep it current, protect credentials, and promptly notify Cartograph of suspected unauthorized access. Accounts may not be shared except through features designed for authorized collaboration.
Workspace administrators may invite and remove users, assign roles, configure integrations and communications, control workspace data, review usage, and take other actions described in the Service. Customer is responsible for selecting administrators and for their actions. Cartograph may rely on an administrator’s instructions as Customer’s instructions.
Authorized Users must be at least 18 years old and legally capable of entering these Terms. Customer may not provide the Service to a person located in a region marked unavailable in the Supported Regions page.
4. Customer Content and derived information
“Customer Content” means information, records, messages, call audio or transcripts, documents, files, prompts, instructions, integration data, and other material Customer or its Authorized Users submit to, connect with, transmit through, or generate using the Service. As between the parties, Customer retains its rights in Customer Content. Customer Content does not include Cartograph Technology, as defined in Section 9.
Customer grants Cartograph a worldwide, non-exclusive license to host, copy, transmit, display, transform, analyze, and otherwise process Customer Content as reasonably necessary to: provide and operate the Service; carry out Customer’s configurations, instructions, workflows, and communications; secure, support, test, evaluate, debug, maintain, and improve the Cartograph service Customer uses; prevent fraud and abuse; comply with law; and exercise rights or perform obligations under these Terms and the DPA. This license lasts only as long as reasonably necessary for those purposes, subject to applicable retention and legal requirements.
Cartograph will not use identifiable Commercial Customer Content to train a third-party or general-purpose foundation model. Cartograph may create information that has been aggregated, anonymized, or de-identified in accordance with applicable law so that it identifies neither an individual nor Customer as its source (“Derived Analytics”). Cartograph may use and disclose Derived Analytics indefinitely to operate, secure, evaluate, improve, benchmark, research, and market Cartograph and to produce industry or market analyses.
A redacted name, pseudonymous identifier, embedding, or near-verbatim transcript is not automatically de-identified. When information can reasonably be linked back to a person or originating customer, Cartograph continues to treat it as Customer Content or personal data. Cartograph will not attempt to re-identify Derived Analytics except where law permits testing safeguards, and will require a recipient to observe the same restriction.
5. Customer responsibilities
Customer represents that it has all rights, notices, permissions, lawful bases, and consents necessary for Cartograph to process Customer Content and provide the Service as configured. Customer is responsible for the legality, accuracy, quality, and provenance of Customer Content and its instructions.
Customer must not intentionally submit regulated health information, payment-card data, government identification numbers, children’s information, special-category data, or similarly high-risk information unless Cartograph has expressly agreed in writing and the parties have implemented required safeguards. Incidental sensitive information in ordinary business communications remains subject to the DPA.
Customer must use the Service in accordance with law, these Terms, the Usage Policy, and the Service-Specific Terms. Customer is responsible for reviewing AI outputs and proposed actions before relying on them or allowing them to affect another person.
6. Communications, calls, and AI
Customer is solely responsible for the legality and content of calls, messages, emails, recordings, transcripts, and automated communications it directs through the Service. This includes consent, identification, disclosure, calling-hour, do-not-call, suppression, telemarketing, anti-spam, and recording requirements in every relevant jurisdiction.
Customer must promptly honor opt-out and do-not-contact requests. Cartograph may block recipients, numbers, domains, regions, or volumes, or suspend a communications feature, where safeguards are missing or activity may be unlawful, deceptive, abusive, or harmful.
AI outputs and actions may be inaccurate, incomplete, delayed, or unsuitable. Customer must use qualified human judgment and may not use the Service as the sole basis for employment, credit, housing, insurance, healthcare, education, legal, or similarly significant decisions about a person. Cartograph does not provide legal, medical, financial, accounting, or other professional advice.
7. Third-party services
Customer may direct the Service to interact with third-party systems, models, recipients, and integrations (“Third-Party Services”). Customer authorizes Cartograph to exchange Customer Content with them as necessary to carry out Customer’s direction. Third-Party Services are governed by their own terms and privacy practices after information reaches them.
Cartograph is not responsible for a Third-Party Service’s availability, security, accuracy, acts, omissions, or changes. Cartograph may replace, restrict, or discontinue a Third-Party Service where reasonably necessary. Subprocessors that process Customer Personal Data on Cartograph’s behalf remain subject to the DPA.
8. Fees, taxes, and payment
Customer will pay fees shown in the Service, on an accepted checkout, or in a signed Enterprise Agreement. Fees may be recurring, subscription-based, or usage-based. Customer authorizes Cartograph and its payment providers to charge the payment method on file when fees become due.
Unless law requires otherwise, payments are non-refundable and commitments are non-cancellable. Customer is responsible for applicable sales, use, value-added, withholding, and similar taxes, other than taxes based on Cartograph’s net income. Cartograph may change public pricing prospectively with reasonable notice; an increase does not change a committed price during its stated term.
Cartograph may suspend paid access for overdue undisputed fees after notice and a reasonable opportunity to cure.
9. Ownership and feedback
Cartograph and its licensors retain all rights in the Service and Cartograph Technology. “Cartograph Technology” means the software, designs, models, documentation, and related technology, and the agent configurations, playbooks, prompts, templates, workflows, methods, and know-how Cartograph uses or develops to provide the Service, including those Cartograph or its personnel create while configuring, supporting, or performing services for Customer. Customer’s data reflected in those materials remains Customer Content. Except for the limited use right in Section 2, these Terms grant Customer no right in the Service or Cartograph Technology.
To the extent Cartograph has rights in an output generated specifically for Customer, Cartograph assigns those rights to Customer upon creation and payment of applicable fees. Outputs may not be unique, and similar output may be generated for others. This assignment does not transfer rights in the Service, Cartograph Technology, third-party material, or Derived Analytics.
Customer may provide suggestions or feedback. Cartograph may use feedback without restriction or compensation, but will not identify Customer as its source without permission.
10. Confidentiality
“Confidential Information” means non-public information disclosed by one party that is marked confidential or should reasonably be understood as confidential. Customer Content is Customer’s Confidential Information. Non-public Cartograph Technology is Cartograph’s Confidential Information. Confidential Information excludes information independently developed without use of the information, rightfully received without confidentiality duty, or publicly available through no breach.
The receiving party will use reasonable care to protect Confidential Information, use it only to perform or exercise rights under the agreement, and disclose it only to personnel, advisers, and providers who need it and are bound by confidentiality duties. Customer will not use Cartograph’s Confidential Information, or Cartograph Technology it accesses or observes through the Service, to build, train, or help another person build a competing product or service. A recipient may disclose information when legally required if, where permitted, it gives prompt notice and reasonable assistance.
11. Suspension, term, and termination
These Terms continue while Customer or an Authorized User accesses the Service. Either party may terminate a free or month-to-month Service on notice. A committed subscription continues for its stated term unless terminated for material breach that remains uncured for 30 days after notice, or immediately if the breach cannot be cured.
Cartograph may suspend affected access where reasonably necessary for a security risk, suspected unauthorized access, unlawful or abusive activity, breach, overdue fees, provider restriction, or legal requirement. Where practicable, Cartograph will give notice, an opportunity to cure, and limit suspension to affected functionality.
On termination, access ends. Subject to account standing and technical feasibility, Customer may request a reasonable export before termination or within 30 days afterward. Cartograph will return or delete Customer Personal Data as required by the DPA, subject to legal retention, security records, backups, and data Cartograph is permitted to retain in de-identified form.
Sections 4, 9, 10, 12, 13, and 14, Section 2 of the Usage Policy, payment obligations for fees accrued before termination, and any other provision that by its nature should survive, survive termination or expiration of these Terms.
12. Disclaimers
To the maximum extent permitted by law, the Service, outputs, actions, beta features, and support are provided “as is” and “as available.” Cartograph disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation.
Cartograph does not warrant that outputs or actions will be correct, complete, current, compliant, or suitable for Customer’s purpose, or that the Service will preserve every item of Customer Content. Customer is responsible for independent review and appropriate backups.
13. Indemnity and limitation of liability
Customer will defend, indemnify, and hold harmless Cartograph and its personnel from third-party claims, damages, judgments, penalties, costs, and reasonable legal fees arising from Customer Content; Customer’s instructions, integrations, communications, calls, recordings, or recipients; Customer’s breach of these Terms; or Customer’s unlawful, deceptive, or harmful use. Cartograph will promptly notify Customer and allow Customer to control the defense, provided Customer may not settle a claim in a way that admits Cartograph’s fault or imposes an obligation on Cartograph without consent.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, business, goodwill, or data, even if advised of the possibility. This exclusion does not apply to a party’s breach of Section 10, Customer’s infringement or misappropriation of Cartograph Technology, or Customer’s breach of Section 2 of the Usage Policy.
Cartograph’s total aggregate liability arising from or relating to the Service or agreement will not exceed the greater of: (a) fees Customer paid Cartograph for the Service during the 12 months before the event giving rise to liability; or (b) USD $100. These limits apply across all theories and claims and do not limit liability where applicable law prohibits limitation.
14. Changes, enterprise agreements, and general terms
Cartograph may update incorporated documents prospectively. Cartograph will provide advance electronic notice of material changes. A change to data-use rights, disputes, liability, fees, or material customer obligations requires renewed electronic acceptance before it binds an existing Customer. Other changes take effect on the stated date, and continued use after that date constitutes acceptance. A broader data-use right does not silently apply to information collected under an earlier promise.
Customer and Cartograph may sign a separately negotiated “Enterprise Agreement.” It supplements these Terms and overrides only provisions it expressly identifies, for the workspaces and period it identifies. These Terms govern earlier use. A quote, invoice, pricing page, purchase order, or sales communication may state service and pricing details but does not amend these Terms unless signed by both parties and expressly identified as an Enterprise Agreement.
These Terms and incorporated documents are the complete agreement about their subject matter. Customer may not assign them without Cartograph’s consent, except with a merger or sale of substantially all assets if the successor assumes them. Cartograph may assign them in connection with a reorganization, financing, sale, or transfer of its business. Neither party is liable for delay caused by events beyond its reasonable control.
Washington law governs without regard to conflicts rules. Before filing a claim, a party will give written notice and allow 30 days for good-faith informal resolution. Exclusive jurisdiction and venue lie in the state and federal courts located in King County, Washington, except either party may seek urgent equitable relief in any competent court.
Notices to Cartograph must be sent to hello@cartograph.ai. Cartograph may send notice through the Service or to an account, administrator, or billing email. Electronic notices satisfy written-notice requirements where permitted. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder continues. A waiver must be written and applies only to the stated instance.
